SureAppoint Terms of Service
FOUNDER-AUTHORIZED INTERIM TERMS
Published for current use by founder authorization on August 4, 2026. These interim Terms remain subject to future review by qualified counsel and prospective amendment.

1. Scope
These Terms of Service govern access to and use of the SureAppoint appointment guarantee platform by a participating practice and its authorized users (collectively, the Practice).
SureAppoint helps a Practice:
- Present a Practice-authored appointment policy and maximum fee.
- Record the Guarantee Acceptor's acceptance of that policy and fee.
- Allow the Payment Authorizer to securely save a payment method through Stripe.
- Preserve evidence of the accepted policy and fee.
- Support a later Practice decision to charge, reduce, or forgive a fee.
SureAppoint is not an electronic medical record, scheduler, patient portal, collections platform, CRM, clinical decision tool, or general practice-management system. The Practice's scheduler or EMR remains the system of record for attendance, scheduling, clinical information, and the complete patient record.
These Terms should be read with the applicable Commercial Agreement, Privacy Policy, Acceptable Use Policy, and any additional written terms signed by the Practice.
Document precedence
TODO (Legal Review): Approve this intended order of precedence before any document is published or signed:
- A signed amendment or order form, but only when it expressly identifies the provision it overrides.
- An applicable Business Associate Agreement or Data Processing Addendum, but only for its specific privacy, security, or data-processing subject matter.
- The Commercial Agreement.
- The Terms of Service.
- The Acceptable Use Policy.
- The Privacy Policy and Data Retention Policy, each for its specific subject matter.
No document may retroactively alter an accepted Appointment Guarantee, Policy Snapshot, Maximum Fee Snapshot, Payment Authorization, Practice Resolution, or historical evidence. If documents at the same level conflict, the more specific approved term controls only for its subject matter.
2. Definitions
Accepted Maximum means the highest appointment fee displayed to and accepted by the Guarantee Acceptor for a specific Appointment Guarantee.
Appointment Guarantee means the SureAppoint record that identifies the Practice-defined Appointment Unit, preserves the applicable policy and fee snapshots, records the Guarantee Acceptor's acceptance and the Payment Authorizer's authorization, and records relevant payment and audit evidence.
Appointment Unit means the appointment, family block, caregiver session, reserved time, or other unit that the Practice identifies for security. SureAppoint accepts the Practice's representation without interpreting or subdividing it.
Authorized User means a person the Practice authorizes to access its SureAppoint account.
Guarantee Acceptor means the person who reviews and accepts the Practice Policy and Accepted Maximum for an Appointment Guarantee and represents that they have authority to do so.
Patient Subject means the person or people associated with the Practice-defined Appointment Unit.
Payment Authorizer means the person who authorizes possible future use of the Stripe-hosted payment method for the Appointment Guarantee.
The Patient Subject, Guarantee Acceptor, and Payment Authorizer may be the same person or different people. These role definitions do not create patient accounts or change the Version 1 receptionist workflow.
Practice Policy means policy wording created, approved, and published by the Practice.
Service Fee means the SureAppoint fee described in the applicable Commercial Agreement.
Services means the SureAppoint platform and related founder-led onboarding and support described in the applicable agreement.
Stripe means Stripe, Inc. and its applicable affiliates that provide connected-account, payment-method, payment-processing, refund, and dispute services.
3. Eligibility and authority
The Practice represents that:
- It is legally organized and authorized to provide the services associated with its appointments.
- The person accepting these Terms is the Practice owner or another authorized representative with authority to bind the Practice.
- Its Authorized Users act within the authority the Practice gives them.
- It will use SureAppoint only for lawful, eligible appointment policies.
- It will maintain accurate account, office, contact, and payment-onboarding information.
SureAppoint's current operating rule does not permit use for Medicaid beneficiaries or patients who are eligible for both Medicare and Medicaid (dual-eligible patients), unless a later legal review and written SureAppoint approval expressly permit that use. The Practice must identify and exclude those patients using its own system of record before creating an Appointment Guarantee.
These interim Terms do not establish a final rule for Medicare-only patients. Counsel must confirm whether additional Medicare or other government-program restrictions are required before these Terms are approved.
4. Practice responsibilities
The Practice is responsible for:
- Creating, reviewing, publishing, and maintaining its Practice Policies.
- Ensuring each Practice Policy and fee is lawful, fair, accurate, and appropriate for the Appointment Unit and Patient Subject.
- Keeping its scheduler or EMR accurate and using it as the authoritative appointment record.
- Entering accurate Patient Subject, contact, Appointment Unit, policy, and fee information into SureAppoint.
- Confirming that the Guarantee Acceptor received the correct Practice, Appointment Unit, policy, and Accepted Maximum information.
- Confirming that the Guarantee Acceptor and Payment Authorizer have the authority required for their respective actions.
- Determining what happened and whether its policy applies.
- Making every decision to charge, reduce, forgive, refund, or respond to a dispute.
- Never charging more than the Accepted Maximum.
- Maintaining its own patient communication and complaint-resolution process.
- Completing Stripe onboarding and maintaining an eligible Stripe connected account.
- Protecting account credentials and promptly reporting suspected unauthorized access.
- Following the Acceptable Use Policy and applicable law.
The Practice must not enter clinical notes, insurance information, date of birth, address, or other patient information that SureAppoint does not request.
5. SureAppoint responsibilities
Subject to these Terms and the applicable Commercial Agreement, SureAppoint provides the platform used to:
- Create an Appointment Guarantee and secure link.
- Preserve the policy version and maximum-fee snapshot associated with that guarantee.
- Record Guarantee Acceptor acceptance, Payment Authorizer authorization, and relevant timestamps.
- Facilitate payment-method setup and Practice-authorized payment activity through Stripe.
- Record delivery attempts, provider outcomes, Practice decisions, and material audit evidence supported by the product.
SureAppoint does not:
- Determine whether a patient attended, cancelled, or violated a Practice Policy.
- Make clinical, scheduling, factual-dispute, or enforcement decisions.
- Automatically charge a patient.
- Guarantee delivery of a secure link, successful payment-method setup, or collection of any fee.
- Replace the Practice's legal, compliance, billing, or recordkeeping responsibilities.
6. Appointment Guarantees
An Appointment Guarantee is specific to the Practice-defined Appointment Unit, Practice Policy, policy version, and maximum fee presented to the Guarantee Acceptor.
The Appointment Guarantee is created separately from delivery of its secure link. A delivery failure does not delete or invalidate the guarantee. A copied or submitted link is not represented as delivered unless the applicable provider confirms delivery.
The Guarantee Acceptor must review and accept the displayed Practice Policy and Accepted Maximum. No payment is collected when the Payment Authorizer saves a payment method. Appointment Guaranteed means the policy was accepted and Stripe confirmed that the payment method was secured. It does not mean a fee will be charged or collected.
A material change to the Patient Subject, Guarantee Acceptor, Payment Authorizer, Practice, Appointment Unit, policy, or fee requires a replacement guarantee. An existing accepted guarantee remains governed by the version and maximum fee already accepted.
7. Policy ownership and version integrity
The Practice owns and is responsible for its Practice Policies. SureAppoint does not draft legal policy terms for the Practice or determine whether a policy is enforceable.
Published policy versions are immutable. Publishing changed wording creates a replacement version for future guarantees only. Existing guarantees retain:
- The immutable accepted policy snapshot.
- The immutable accepted fee snapshot.
- The policy-version reference and publication provenance supported by the platform.
- The acceptance and payment evidence supported by the platform.
Disabling a policy prevents future selection but does not alter historical guarantees.
8. Payment authorization and charging
The Payment Authorizer's payment method is collected and stored by Stripe. Saving a payment method does not create an immediate charge.
The Practice may initiate a charge only when:
- The Guarantee Acceptor accepted the applicable Practice Policy and Accepted Maximum.
- Stripe confirmed the payment method was secured.
- The Practice has determined that its policy applies.
- An Authorized User expressly chooses to charge the full fee or a reduced amount.
- The amount does not exceed the Accepted Maximum.
- All applicable account and payment-activation requirements are satisfied.
SureAppoint does not schedule, initiate, or retry charges automatically. The Practice is responsible for the legal sufficiency of the Guarantee Acceptor's acceptance and the Payment Authorizer's off-session payment authorization. Counsel must approve the final acceptance and authorization language and process.
Revocation prevents future use of the Payment Authorization for a new charge or retry. It never rewrites the original acceptance, authorization, delivery, or financial history and does not automatically reverse a completed financial action. Any replacement guarantee requires a new secure link, fresh acceptance, and a new Payment Authorization.
9. Stripe relationship
Stripe provides payment-method storage, connected-account onboarding, payment processing, refunds, and payment-dispute services. The Practice must accept and comply with Stripe's applicable terms and complete Stripe's requested identity, business, banking, and tax verification directly with Stripe.
Payment setup and Practice-authorized charges occur in the Practice's Stripe connected account. SureAppoint does not receive or store the Payment Authorizer's full card number, bank credentials, or Stripe password.
Stripe may decline, delay, review, restrict, reverse, or otherwise affect a transaction or connected account under Stripe's own terms. SureAppoint does not control or guarantee Stripe's decisions or availability.
10. Service Fees
Unless a signed Commercial Agreement states otherwise, SureAppoint earns a Service Fee equal to 20% of each appointment fee successfully collected through the Services. The Service Fee is separate from Stripe processing fees.
The current production fee is recorded under immutable commercial fee version
launch-2026-07-v1. Changes to future pricing must follow the signed Commercial
Agreement and do not alter a Guarantee Acceptor's Accepted Maximum.
11. Refund responsibilities
The Practice decides whether to refund a charge and remains responsible for the decision, amount, communication with the affected parties, and legal basis.
The current SureAppoint Service Fee treatment is:
- No refund: SureAppoint retains the Service Fee.
- One or more partial refunds totaling less than the collected fee: SureAppoint retains the full Service Fee; the Practice absorbs the partial refund.
- A full refund: SureAppoint returns the full Service Fee once.
- Multiple partial refunds cumulatively equal to the collected fee: SureAppoint returns the full Service Fee once when the cumulative amount reaches the full collected amount.
SureAppoint does not prorate its Service Fee for a partial refund. Stripe processing fees are governed solely by Stripe. SureAppoint does not guarantee, reimburse, or subsidize their return.
12. Dispute and chargeback responsibilities
The Practice is responsible for:
- Addressing questions and factual disagreements raised by a Patient Subject, Guarantee Acceptor, Payment Authorizer, or cardholder.
- Determining whether its policy was applied lawfully and fairly.
- Providing accurate evidence by applicable deadlines.
- Responding to Stripe requests and payment disputes.
- Paying applicable Stripe processing, dispute, or other provider fees.
SureAppoint may provide available guarantee evidence and facilitate Stripe status reconciliation, but it does not decide factual disputes, represent the Practice, or guarantee the outcome.
SureAppoint generally returns its Service Fee when a charge is reversed through a successful payment dispute. SureAppoint may limit or discontinue Service-Fee refunds for excessive or atypical chargeback patterns after deliberate internal review. This is not an automatic dispute-rate program. Counsel must approve the final scope, notice, and enforceability of this discretion.
13. Acceptable use
The Practice and its Authorized Users must follow the Acceptable Use Policy. Prohibited conduct includes fraud, fake appointments, unlawful or excessive charges, credential sharing, bypassing safeguards, abusing Stripe, and using the Services to pressure, mislead, or harm patients.
14. Suspension and termination
SureAppoint may suspend or restrict access when reasonably necessary to:
- Address suspected fraud, illegal activity, patient abuse, or a security threat.
- Prevent unauthorized or prohibited charges.
- Respond to Stripe or legal requirements.
- Investigate a material breach of these Terms.
- Protect patients, the Practice, SureAppoint, or the integrity of the Services.
The Practice may stop using SureAppoint at any time. SureAppoint may terminate or suspend service immediately for fraud, abuse, unlawful activity, material security concerns, or other serious misuse. Otherwise, SureAppoint will provide reasonable notice before terminating the commercial relationship where practical.
When appropriate and legally permitted, SureAppoint will communicate the reason for a suspension and explain any available remediation or reinstatement process. Termination does not erase obligations or evidence that must be retained under an approved retention schedule, legal requirement, or dispute hold.
15. Disclaimers
The Services are a platform for appointment-guarantee evidence and Practice-authorized payment activity. SureAppoint does not provide legal, clinical, scheduling, collections, or reimbursement advice.
To the extent permitted by applicable law, the final agreement should disclaim implied warranties and state that the Services are provided without a guarantee of uninterrupted availability, link delivery, payment authorization, payment collection, dispute outcome, or policy enforceability.
Counsel must approve the final warranty language and any legally required exceptions.
16. Limitation of liability
Counsel drafting required.
The final clause should address:
- Any liability cap and the period used to calculate it.
- Excluded damages, if lawful.
- Carve-outs for confidentiality, data security, indemnification, fraud, willful misconduct, payment obligations, or other required matters.
- Jurisdiction-specific restrictions on disclaimers and limitations.
No liability amount or legal standard is approved in these interim Terms.
17. Indemnification
Counsel drafting required.
The final clause should address the Practice's responsibility for claims arising from:
- Its Practice Policies or policy enforcement.
- Inaccurate Appointment Unit, Patient Subject, participant-authority, policy, or fee information.
- Unlawful, unfair, excessive, or unauthorized charges.
- Its patient communications or factual-dispute decisions.
- Its breach of these Terms, the Acceptable Use Policy, Stripe terms, or applicable law.
Counsel must determine whether SureAppoint provides any reciprocal indemnification and define notice, control of defense, cooperation, and settlement requirements.
18. Changes to these Terms
SureAppoint will notify affected customers of future material changes to its governing policies or subprocessors through the approved customer contact channel. The final Terms must specify how changes are approved, communicated, and made effective.
Changes to these Terms or SureAppoint pricing do not alter the immutable policy or maximum-fee snapshot already accepted by a Guarantee Acceptor.
